Michael Gentile, CFA Announces Filing of Early Warning Report Related to Disposition of Common Shares of Lucky Minerals Inc.

Toronto, Ontario–(Newsfile Corp. – September 28, 2023) – Michael Gentile announces that he has filed an early warning report (the “Report“) announcing that Lux in Tenebris Foundation, a foundation Mr. Gentile has control over, has disposed (the “Disposition“) of 6,002,000 common shares (each, a “Common Share“) in the capital of Lucky Minerals Inc. (the “Company“).

Prior to the completion of the Disposition, Mr. Gentile beneficially owned or controlled an aggregate of 23,558,857 Common Shares and 21,308,857 Common Share purchase warrants representing approximately 11.61% of the Company’s issued and outstanding on an undiluted basis and approximately 20.02% on a partially diluted basis. Following the completion of the Disposition, Mr. Gentile beneficially owns and/or controls, an aggregate of 17,556,857 Common Shares and 21,308,857 Common Share purchase warrants representing approximately 8.65% of the Company’s issued and outstanding on an undiluted basis and approximately 17.33% on a partially diluted basis.

Mr. Gentile has a long-term view of the investment and may acquire additional securities of the Company either on the open market or through private acquisitions or sell the Common Shares on the open market or through private dispositions in the future depending on market conditions, reformulation of plans and/or other relevant factors.
